By accessing and using Syncventory ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Syncventory is an inventory management platform that allows you to manage your inventory data, sync with Google Sheets, and organize your catalog information. The Service includes web-based software, APIs, and related services.

3. User Accounts

3.1 Account Creation

To use Syncventory, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers

5. Data and Content

You retain ownership of all data and content you upload or create using Syncventory. By using the Service, you grant us a license to store, process, and display your data as necessary to provide the Service.

5.2 Data Security

We implement security measures to protect your data, but you acknowledge that no system is completely secure. You are responsible for backing up your data.

5.3 Third-Party Integrations

When you connect third-party services (such as Google Sheets), you are subject to those services' terms of service and privacy policies. We are not responsible for the actions of third-party services.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Syncventory and is protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.

7. Payment and Billing

If you subscribe to a paid plan:

  • You agree to pay all fees associated with your subscription
  • Fees are billed in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change our pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of your account

8. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any damages resulting from Service unavailability.

9. Termination

9.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

9.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice when reasonably possible.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCVENTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify and hold harmless Syncventory, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you an email notification (for significant changes)
  • Displaying a notice in the application

Your continued use of the Service after changes constitutes acceptance of the updated Terms.
